Astera Legal advises Fremman Capital on the acquisition of a majority stake in rehaneo from the European investment company Gimv

Astera Legal advised Fremman Capital on the financing of the acquisition of a majority stake in rehaneo, a leading provider of outpatient rehabilitation, prevention and occupational health management in Germany. The financing will be provided by Ares who are advised by Latham & Watkins. The pan-European mid-market investment firm Fremman is acquiring the shares from the leading European investment company Gimv. The founders and managing directors Bruno Crone and Christoph Dühr will remain significant shareholders in the company and continue in their existing roles.
Since its foundation in 2020, rehaneo GmbH has acquired 13 companies through a targeted buy-and-build strategy and established itself as number 2 in the field of outpatient rehabilitation with over 1,000 employees. Every year, more than 80,000 patients benefit from a wide range of services, from outpatient rehabilitation and aftercare to prevention and therapy.
Together with Fremman, the successful growth strategy is to be continued, and the market position further strengthened in order to establish rehaneo as a leading provider in Europe. The transaction is subject to approval by the German Federal Cartel Office and is expected to be completed in Q1 2025.
